Terms of Use

1.Acceptance of terms

By accessing or using the Site, requesting a demo or quote, or contacting us through forms or email, you confirm that you are at least 18 years old, have the authority to enter into these Terms (on behalf of your employer or business if applicable), and agree to be bound by these Terms and our Privacy Policy. The Site is intended for businesses, fleet operators, contractors, and adult professionals.

2.Permitted use of the site

We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for legitimate business purposes — including evaluating ZM AXTON equipment, requesting demos and quotes, and contacting our dealer network. You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable law or regulation
• Copy, scrape, mirror, frame, or redistribute Site content without our written permission
• Reverse-engineer, decompile, or attempt to extract source code from any Site component
• Probe, scan, or test the vulnerability of any Site infrastructure or breach security or authentication measures
• Submit automated requests, bots, or excessive traffic that interferes with normal Site operation
• Submit false, misleading, or fraudulent information through any form on the Site
• Use the Site or its content to compete with ZM AXTON, ZO Motors, or our dealer network
• Upload or transmit viruses, malware, or any other harmful code

3.Accounts & submissions

When you submit information through the Site (for example, the Request a Demo or Get a Quote forms), you represent that the information is accurate and that you are authorized to provide it. You are responsible for the content of any messages or submissions you make.

Any feedback, ideas, or suggestions you voluntarily send to us regarding our equipment, the Site, or our business — whether through forms, email, or otherwise — are considered non-confidential. You grant ZM AXTON a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, and incorporate that feedback for any purpose without compensation or attribution to you.

4.Intellectual property

The Site and all of its content — including the ZM AXTON name and logo, the ZO Motors name and logo, model designations (SR385, SR910, L800, E19), photographs, illustrations, specifications, videos, copy, layout, code, and the overall "look and feel" — are owned by or licensed to ZO Motors North America and are protected by U.S. and international copyright, trademark, trade-dress, and other intellectual-property laws.

Nothing on the Site grants you any license or right to use any trademark, logo, or trade name without our prior written consent. Press, dealers, and partners may request approved brand assets by contacting marketing@zmaxton.com.

5.Product information, specifications & pricing

We work hard to keep equipment information on the Site accurate and current, but we do not warrant that all content is error-free, complete, or up to date. Photographs and renderings are illustrative and may show optional equipment, accessories, or configurations not included in the standard model.

• Specifications. Battery capacity, runtime, payload, lift height, charging time, and other published specifications are nominal values measured under defined test conditions. Real-world performance varies with load, terrain, ambient temperature, operator behavior, and accessory selection.
• Availability. Equipment models, configurations, attachments, and color options may change without notice and may not be available in every region or through every dealer.
• Pricing & quotes. Prices, financing terms, and incentives shown on the Site or in quotes are estimates only, are subject to change, and do not constitute a binding offer. A binding sale occurs only upon execution of a written purchase agreement with ZM AXTON or an authorized dealer.
• Compliance. Customers are responsible for confirming that any equipment configuration complies with local regulations, jobsite requirements, and applicable safety and emissions standards.

6.Dealers & third-party links

ZM AXTON equipment is sold and serviced through an independent dealer network. Authorized dealers are independent businesses, not agents or employees of ZM AXTON or ZO Motors North America. The terms of any sale, lease, financing, delivery, training, warranty service, or repair are between you and the dealer.

The Site may contain links to third-party websites, including dealer sites, financing partners, industry publications, and social media. We provide these links for convenience only. We do not control, endorse, or accept responsibility for the content, products, services, or privacy practices of any third-party website, and your use of those sites is governed by their own terms and policies.

7.Warranty disclaimer

Equipment warranties — when offered — are separate written warranties provided with the equipment at the time of purchase from an authorized dealer. Nothing on the Site constitutes an equipment warranty.

8.Limitation of liability

Our total cumulative liability arising out of or related to the Site, regardless of the form of action, will not exceed one hundred U.S. dollars (US $100.00). Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.

9.Indemnification

You agree to defend, indemnify, and hold harmless ZM AXTON, ZO Motors North America, our affiliates, and our respective officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your misuse of the Site; (c) any information you submit through the Site; or (d) your violation of any applicable law or the rights of any third party.

10.Governing law & disputes

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or related to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in those courts. Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect intellectual-property or confidentiality rights.

11.Changes to these terms

We may revise these Terms from time to time. The "Last updated" date at the top of the page reflects the most recent revision. Material changes will be highlighted on the Site or, where appropriate, communicated by email. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
